1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and First Coast Industries LLC ("Counters Studio", "we", "us", "our"). They govern your access to and use of the Counters Studio web application available at https://Counters.Studio and any related services (collectively, the "Service").
By creating an account, clicking "I agree", or using the Service, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old to use the Service. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms, and "you" refers to that business.
2. The service
Counters Studio is an online platform for stone countertop fabrication businesses. Depending on your plan and the features enabled for your account, the Service may allow you to: draw countertop layouts and edit shapes, edges and cutouts; nest pieces on slab layouts and export production-ready DXF files; build, send and track quotes; collect electronic signatures from your customers; plan and track production across machines and work stages; schedule and project installation dates; record labor time and job costs; manage slab, remnant and supplier inventory; share projects with your team and with people you invite; send email and text-message notifications; and view reports generated from the data you and your team enter.
We may add, change, or remove features at any time as the Service evolves. Features identified as beta, preview, or early access are made available for evaluation only and without warranty of any kind.
3. Your account
To use most of the Service you must create an account. You agree to:
- Provide accurate and current information when you sign up.
- Keep your password confidential and not share your account.
- Notify us immediately if you suspect unauthorized access to your account.
- Be responsible for all activity that happens under your account.
We may suspend or close accounts that violate these Terms, that show signs of compromise, or that have been inactive for an extended period.
4. Subscriptions, billing, and refunds
Some features of the Service require a paid subscription ("Pro"). By starting a subscription you authorize us, through our payment processor Stripe, to charge your payment method on a recurring basis (monthly or annual, as selected) until you cancel.
Free trial. We offer a free trial of 21 days for up to five users on your account. No payment method is required and nothing is charged when the trial ends. When the trial ends, your account becomes read-only: you can still view and export the projects you created, but cannot create new ones until you subscribe. Trial data is kept for 60 days after the trial ends and may be deleted after that.
Automatic renewal and cancellation. Paid subscriptions renew automatically at the then-current price until you cancel. You can cancel at any time from your account settings, in the same place where you subscribed; cancellation takes effect at the end of the period you have already paid for. For annual plans we send a reminder by email at least 15 days before each renewal charge.
Prices. Current prices are shown on the upgrade page within the Service. We may change prices at any time. Price changes apply to your next renewal — you'll be billed at the new rate starting from the next billing cycle, and we will give you at least 30 days' notice by email before a price change applies to your renewal.
Cancellation. You can cancel your subscription at any time from your account or by contacting us. Cancellation stops future billing. You retain Pro access until the end of the billing period you've already paid for.
No refunds. Payments are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or accounts cancelled mid-period, except where required by applicable law or as provided in the Availability and changes section below. If you believe you were charged in error, contact us at Contact@Counters.Studio and we'll investigate.
Overdue payment. If a renewal payment fails we notify you and retry the charge. From the eleventh day after the due date we may block access to paid features until the account is brought current. Free trials are not affected. Where a subscription has been cancelled, access ends at the end of the paid period with no further grace period.
Taxes. Prices do not include taxes. You are responsible for any sales, use, value-added, or similar taxes that apply to your purchase, except for taxes based on our net income.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload, store, or transmit content that is infringing, defamatory, harassing, or otherwise harmful.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by law.
- Use the Service to build a competing product, or scrape, copy, or republish substantial portions of the Service.
- Interfere with or disrupt the Service, including by overloading, flooding, or sending malformed requests.
- Share your account credentials with anyone outside your organization or sell, rent, or transfer your account.
6. Your content
You retain all ownership rights in the drawings, project data, files, and other content you create, upload, or store using the Service ("Your Content"). You are solely responsible for Your Content and for ensuring you have the rights necessary to use it.
You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and back up Your Content solely as necessary to provide the Service to you and the people you share with. This license ends when you delete Your Content or close your account, except that we may retain backup copies for a reasonable period as part of routine operations.
If you share a project with another user, you authorize us to make Your Content accessible to that user according to the permission level you select. You are responsible for choosing whom to share with.
7. Our intellectual property
The Service, including its software, design, text, graphics, and other content we provide (excluding Your Content), is owned by Counters Studio or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No other rights are granted.
"Counters Studio" and our logos are our trademarks. You may not use them without our prior written permission.
8. Privacy
Our Privacy Policy describes what information we collect, how we use it, and the choices you have. By using the Service, you also agree to our Privacy Policy.
9. Third-party services
The Service relies on third-party providers, including Stripe (payment processing) and our hosting provider. When you make a payment, your card details are submitted directly to Stripe and are not stored on our servers. Your use of those third-party services is also subject to their own terms and privacy policies.
10. Availability and changes
We strive to keep the Service available and reliable, but we do not promise uninterrupted or error-free operation. We may schedule maintenance, modify features, or temporarily suspend the Service when we need to. We may also discontinue the Service or any part of it; if we discontinue a paid feature you actively use, we will provide reasonable advance notice and, where appropriate, a pro-rata refund of any prepaid amounts attributable to the discontinued feature for the unused period.
11. Termination
You may stop using the Service at any time and may close your account from the account settings or by contacting us.
We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, if your use of the Service creates risk or legal exposure for us, or if we are required to do so by law.
On termination, your right to use the Service ends. The following sections survive termination: your obligation to pay amounts owed to us, Acceptable Use, Your Content (license to retain backups), Our Intellectual Property, Disclaimer of Warranties, No Guarantee of Business Results, Limitation of Liability, Indemnification, Governing Law, General Provisions, and Contact.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
ALL OUTPUTS GENERATED BY THE SERVICE — INCLUDING DRAWINGS, DXF AND OTHER EXPORT FILES, SLAB NESTING LAYOUTS, CUT SEQUENCES, QUOTES, PRICES, MEASUREMENTS, AREA AND MATERIAL CALCULATIONS, PROJECTED INSTALLATION AND PRODUCTION DATES, MACHINE AND CAPACITY ESTIMATES, LABOR TIME AND COST RECORDS, INVENTORY FIGURES AND REPORTS — ARE PROVIDED AS AIDS ONLY. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING EVERY OUTPUT BEFORE RELYING ON IT, INCLUDING VERIFYING ALL MEASUREMENTS, TOLERANCES AND FABRICATION DETAILS BEFORE CUTTING MATERIAL OR PRODUCING PARTS, VERIFYING EVERY PRICE AND QUANTITY BEFORE SENDING A QUOTE TO A CUSTOMER, AND VERIFYING EVERY DATE BEFORE COMMITTING TO IT. WE ARE NOT RESPONSIBLE FOR MATERIAL LOSSES, REWORK, UNDERPRICED OR MISPRICED WORK, MISSED OR DELAYED INSTALLATIONS, PAYROLL OR LABOR-COST ERRORS, OR ANY OTHER COST RESULTING FROM RELIANCE ON THE SERVICE'S OUTPUTS.
13. No guarantee of business results
The Service is a tool. We do not guarantee, promise, or warrant any business outcome from its use, including any increase in profit, revenue, sales, margin, production capacity, yield, or productivity, any reduction in material waste, labor cost, or lead time, or any cost savings of any kind.
Any figures, projections, averages, estimates, or examples shown in the Service, on our website, or in our marketing materials are illustrative only and are not a representation or promise of results you will obtain. Results depend on your own pricing, materials, equipment, staff, data, and business decisions, all of which are outside our control.
You remain solely responsible for your own commercial decisions, including the prices you charge, the dates you commit to, the materials you purchase, and the wages you pay. We are not liable for any increase or decrease in your profits, revenue, margins, or costs, nor for any business opportunity gained or lost, in connection with the Service or its outputs.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COUNTERS STUDIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF — OR FAILURE TO OBTAIN OR INCREASE — PROFITS, REVENUE, SALES, MARGIN, SAVINGS, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, OR FOR ANY WASTED MATERIAL, REWORK, PRODUCTION DOWNTIME, COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR ANY CLAIM BROUGHT AGAINST YOU BY YOUR OWN CUSTOMER OR EMPLOYEE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
The limitations in this section do not apply to your obligation to pay amounts owed to us or to your indemnification obligations under these Terms.
15. Indemnification
You agree to indemnify and hold harmless Counters Studio and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from (i) Your Content, (ii) your use of the Service, (iii) your violation of these Terms, or (iv) your violation of any third-party rights, including intellectual property or privacy rights.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The exclusive jurisdiction for any dispute arising out of or relating to these Terms or the Service lies in the state and federal courts located in Duval County, Florida, and you consent to personal jurisdiction in those courts.
If you reside in a jurisdiction whose mandatory consumer-protection laws give you rights that override this section, those rights apply notwithstanding the above.
17. Remote support
If you request remote support, you may allow a member of our support team to view and, with your permission, control your screen for the duration of a session. Remote support is provided only at your request, only with your consent for each session, and only for as long as is needed to address that request.
Before a session begins, you are responsible for closing any application, document, or window you do not want us to see. During a session we may see information unrelated to the Service, including your email, financial records, and your own customers' information. We will not copy, store, or use that information except as needed to resolve your request, and we will not record a session without telling you beforehand.
You may end a session at any time. Any change made to your device, settings, or data during a session is made at your request and at your own risk, and we recommend you keep a current backup before requesting support. The support agent is software supplied by a third party, and your use of it is also subject to that provider's terms. We are not responsible for the condition, configuration, or security of your device, your network, or any other software on it.
18. Quotes, electronic signatures, and your customers
The Service lets you send quotes and other documents to your customers and collect their electronic signature. Any agreement formed between you and your customer is between you and them alone. We are not a party to it, we do not review it, and we give no advice or assurance as to its content, validity, or enforceability.
When a document is signed through the Service, we record the date and time of signature, the signer's IP address, and the version of the document signed, and we make that record available to you. We do not verify the identity of the signer. Confirming who is signing, obtaining the signer's agreement to transact electronically, delivering a copy of the signed document, complying with electronic-signature and consumer-protection law where you operate, and keeping your own copy of the signed record are your responsibility.
You are responsible for the content of every quote, price, date, and document you send through the Service, and for the personal information of your customers that you enter into or collect through it.
19. Information about other people
You may enter into the Service personal information about people who are not our users, including your customers and their contact details, and your employees and their time, attendance, and labor-cost records. As between you and us, that information is yours and you are responsible for it.
You represent that you have the right to provide it to us, and that you have given any notice and obtained any consent required by the law where you operate — including, where applicable, notice to your employees about time and attendance recording. You will not use the Service to collect biometric information, health information, government identification numbers, or payment card numbers.
We process that information only to provide the Service to you, in accordance with your instructions and our Privacy Policy. If a person contacts us to exercise a privacy right over information you placed in the Service, we will refer them to you and will cooperate with you in responding within the time the law allows.
20. General provisions
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service, and replace any prior or contemporaneous statement, proposal, marketing material, or understanding, whether written or oral.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force.
No waiver. If we do not enforce a provision on one occasion, that is not a waiver of our right to enforce it on any other occasion.
Assignment. You may not assign or transfer these Terms, or your account, without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets.
Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages at our hosting, messaging, or payment providers, internet or power failures, natural disasters, labor disputes, government action, or acts of war or terrorism.
Notices. We give notices by email to the address on your account or by notice within the Service; an email notice is treated as received on the day it is sent. You may send notices to us at Contact@Counters.Studio.
Independent parties. These Terms do not create a partnership, joint venture, employment, or agency relationship between you and us.
21. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms here with a new effective date and, where appropriate, by email or in-app notice. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, stop using the Service and close your account.
